Transaction Closing Announcement

Strategic Advisors, Inc. is pleased to announce the closing of the sale of M&J Erosion, Inc. (“M&J”) to Weaver Express (“Weaver”), a portfolio company of JWI Capital (“JWI”). Strategic Advisors served as exclusive sell-side advisor to the shareholders of M&J.

M&J is a leading regional supplier of erosion and sediment (“E&S”) control services including seeding, fencing and blanketing for oil & gas exploration and production companies (“O&G”). Over the past several years, the significant increase in Marcellus Shale natural gas drilling by large O&G companies has greatly increased the need for E&S services in Southwestern PA. E&S work is tightly watched over by regulatory authorities, and O&G companies are highly selective of their vendors for drill site related work. M&J’s ability to complete jobs correctly and in a timely manner with work that abides by all regulatory requirements has allowed the Company to become a preferred vendor for the largest O&G companies in Southwestern PA. This has translated into significant revenue growth for M&J over the past couple years.

Weaver is a leading installer and manufacturer of compost-based filter socks and other compost-based solutions for E&S control applications. Weaver’s compost-based filter sock products and services primarily focus on eliminating or minimizing sediment run-off from construction sites. The M&J acquisition expands Weaver’s service capabilities and market presence in eastern Ohio and western Pennsylvania.

JWI is a Cleveland, Ohio-based private equity firm that acquires and actively manages microcap market companies. In 2011, JWI made the platform acquisition of Weaver. JWI acquired M&J as an add-on investment to Weaver.
