December 2012 Acquisition and Private Placement Closing Announcement

Strategic Advisors, Inc. is pleased to announce the closing of Elk Lake Capital, LLC’s (“Elk Lake”) acquisition of Environmental Services Laboratories, Inc. (“ESLI”) and Environmental Land Surveying and Solutions, Inc. (“ELS&S”). Strategic Advisors served as exclusive financial advisor and placement agent, and structured the transaction on behalf of Elk Lake. The financing for the transaction included senior debt provided by First National Bank of PA, an affiliate of F.N.B. Corporation (NYSE: FNB) and subordinated debt provided by F.N.B. Capital.

ESLI and ELS&S are both headquartered in Indiana, PA and provide environmental testing, surveying, and engineering services to municipalities, engineering firms and private industry, such as oil & gas exploration and production (“O&G”) companies operating in the Marcellus and Utica Shale regions. Over the past several years, the significant increase in Marcellus Shale natural gas drilling by large O&G companies

has greatly increased the need for laboratory water testing and land surveying services. In addition, ESLI and ELS&S have been able to capitalize on the expanded level of regulatory oversight for Marcellus and Utica Shale drilling. The Companies’ ability to complete services correctly and in a timely manner with work that abides by all regulatory requirements has allowed ESLI and ELS&S to become preferred vendors for the largest O&G companies operating in the Marcellus Shale.

Formed in 2011 with the guidance of Strategic Advisors, Elk Lake is a family office private equity firm located in Scranton, PA focused exclusively on control-investment opportunities in privately held companies, with operating profits ranging between $2.0 and $5.0 million. Elk Lake is the investment arm of the Lynett- Haggerty family, whose primary holdings consist of newspaper and radio stations under the umbrella of Times- Shamrock Communications. Elk Lake was formed to add diversity to the family holdings. Times-Shamrock is a 117-year-old family business which is now in its fourth generation of family ownership and management.
