Management Recapitalization Closing Announcement

Strategic Advisors, Inc. is pleased to announce the closing of the recapitalization of Dell Fastener Corporation (“Dell”). Strategic Advisors served as exclusive financial advisor and placement agent to the Management of Dell.

Dell is a distributor of industrial hardware and a full-service OEM supply chain logistics provider. The company maintains an extensive inventory of standard, specialty, stainless steel and metric fasteners as well as industrial and electronic hardware. The DellFast Supply Chain Services division of the business provides outsourced OEM supply chain logistical services to customers to reduce operating costs, extend efficiencies and enhance service levels and reliability.

In 2010, Management began the implementation of a strategic plan in order to: 1) re-brand the Company as a full-

service supply chain resource for OEM C-Items; 2) expand service offerings inside existing customers and more proactively seek out new clients; and 3) establish an exceptional senior level management team to drive growth. In 2012, Dell worked with Strategic Advisors to develop a recapitalization plan that allowed for transition of certain Management and a new ownership structure with the vision to create long-term equity value.
